TERMS OF SERVICE
Agreement to Terms
By using the Stashstock service, website or applications (together, the “Service”), you are agreeing to be bound by the following terms and conditions ("Terms of Service"). Stashstock reserves the right to update and change the Terms of Service at any time without notice. Any new features that are added to the current Service shall also be subject to the Terms of Service. Continued use of the Service after any such changes shall constitute your consent to such changes. Violation of any of the terms below will result in the termination of your Account. You agree to use the Service at your own risk.
Compliance
Stashstock offers users an interface to enter and track data in government mandated or utilized databases (the “System”) such as, but not limited to, the Marijuana Enforcement Tracking Reporting Compliance (METRC) system. At all times, you retain responsibility for compliance with local, state, and federal law, and responsibility to accurately input and verify all information submitted to or from, and reports generated in or by, the System.
Account Terms
Your username and password may only be used by one person. You are responsible for keeping your account and password secure. Stashstock cannot and will not be liable for any loss or damage from your failure to maintain the security of your account and password. You are responsible for all Content and activity that occurs under your Service account. All access to your account shall be regularly reviewed by you to ensure continued compliance, and Stashstock may not be held responsible for any unauthorized access.
Disclaimer
Our goal is to provide the best service we can, but you understand and agree that the Service is provided as is, as and when available, and with all faults, without any express or implied warranty or condition of any kind. You use the service at your own risk. We disclaim any and all warranties or conditions of quality, merchantability, or fitness for particular purposes to the fullest extent of the law.
Changes
Occasionally we may make changes to the Service. Your continued use of the Service after the changes have been made will constitute your acceptance of the changes.
Proprietary System
The Service is the property of Stashstock, and includes processes, trade secrets, technical information, know-how, plans, specifications, CannaScanner HandHeld RFID Reader, CannaScale Hardware, other hardware we provide, and the like (collectively “Confidential Information”). You agree that you shall not, at any time, either during or subsequent to your use of the Service, attempt to or actually: (A) tamper with, alter, reverse engineer, deconstruct, reproduce the Service, or create a new system, service, website, or application based on or similar to the Service, or (B) use, copy, reveal, report, publish, transfer, or otherwise disclose to any person, corporation, or other entity any of the Confidential Information without the written consent of the Stashstock, except for use of the Service pursuant to the terms of service.
Limitation of Losses
Notwithstanding any provision herein to the contrary, Stashstock shall have no responsibility for any losses suffered due to use of the Service, the interruption of the Service, the failure of the Service, acts of theft or destruction by third parties, fires, floods, acts of god, or the like. In the event of any claim against Stashstock arising out of or related to the Service or this Agreement, the sole remedy against Stashstock shall be limited to a refund of the last one month of Service Fee the claimant actually paid to Stashstock (if any). In no event shall Stashstock be liable for consequential, exemplary, or other damages of any kind.
Indemnification
You shall indemnify, defend, and hold harmless Stashstock and its members, managers, employees, agents, successors, and assigns, from and against any and all losses, expenses, claims, and demands sustained relating to your use of the Service, whether sounding in contract, tort, product liability, breach of warranty, intellectual property, or otherwise.
StashStock shall indemnify, defend, and hold harmless you and your members, managers, employees, agents, successors, and assigns, from and against any and all losses, expenses, claims, and demands sustained relating to your use of the Service, whether sounding in contract, tort, product liability, breach of warranty, intellectual property, or otherwise.
Cancellation and Termination
You are solely responsible for properly terminating your account. You may terminate use of the Service at any time, effective upon providing notice to Stashstock by email, or clicking the link in your billing account. Stashstock may terminate your use of the Service at any time, effective upon providing notice to you at the email provided during onboarding. In the event you terminate use of the Service, Stashstock shall be entitled to retain any fees you prepaid (i.e., fees for the remainder of the billing month or year). In the event Stashstock terminates your use of the Service, Stashstock will provide a pro-rata refund of any prepaid fees for the portion of the billing period during which you will not have use of the Service. In either event, the provisions of this Agreement survive termination of your use of the Service.
Verbal, physical, written or other abuse (including threats of abuse) of any Stashstock customer, employee, member, or officer will result in immediate account termination. Stashstock reserves the right to refuse service to anyone for any reason at any time.
Governing Law
This Agreement and your use of the Service shall be governed by Michigan law. Venue and jurisdiction for resolution of any dispute relating to this Agreement shall exclusively be in state courts in Washtenaw County, MI or federal courts serving the Eastern District of Michigan.
